New Fee Payment Instructions, Effective Feb. 4, 2008

The U.S. Department of Treasury’s Financial Management Service has designated U.S. Bank of St. Louis, Missouri as the new Financial Agent for General Lockbox Services for the SEC. US Bank will take over this responsibility from Mellon Bank on February 4, 2008. All fee payments (wires and checks) must be submitted to US Bank on and after this date. No payments should be submitted to Mellon Bank after February 1, 2008.

EDGAR System Release 9.8

The SEC updated their system on December 17, 2007, to EDGAR Release 9.8. Below is a brief summary of the changes they introduced.

  • A “Small Reporting Company” check box will be added to the following submission types:  S-1, S-1/A, S-1MEF, S-3, S-3/A, S-3D, S-3DPOS, S-3MEF, S-8, S-8POS, S-4, S-11/A, S-11MEF, S-4POS, S-4/A, S-4EF, S-4EF/A, S-4MEF, S-11, 10-K, 10-K/A, 10-KT, 10-KT/A, 10-Q, 10-Q/A, 10-QT, 10-QT/A, 10-12B, 10-12B/A, 10-12G, and 10-12G/A.  For additional information, see Smaller Reporting Company Regulatory Relief and Simplification Release No. 33-8819, 34-56013, 39-2447; File No. S7-15-0.

  • The following application submission types have been added as electronic submissions: 40-OIP, 40-OIP/A, 40-6B, 40-6B/A, 40-APP, 40-APP/A for applications for orders under the Investment Company Act of 1940. Filers may use these electronic submission types on a voluntary basis. For additional information, concerning the electronic submission of applications, see Electronic Submission of Applications for Orders under the Investment Company Act and Filings Made Pursuant to Regulation E Release Nos. 33-8859; 34-56732; IC-28042 File No. S7-25-07.

  • The following application submission types have been added as electronic submissions: 1-E, 1-E/A, 2-E, 2-E/A, 2-E AD, 2-E AD/A for Regulation E filings by Small Business Investment Companies (SBIC's) and Business Development Companies (BDC's).  Filers may use these electronic submission types on a voluntary basis.  For additional information, concerning the electronic submission of applications, see Electronic Submission of Applications for Orders under the Investment Company Act and Filings Made Pursuant to Regulation E Release Nos. 33-8859; 34-56732; IC-28042 File No. S7-25-07.

  • Forms 24F-2NT and 24F-2NT/A have been modified to allow reporting of Sale-Proceeds, Redeemed Value, and Net Value of up to $99,999,999,999,999:

  • The following Small Business submission types were to be deactivate: 10KSB, 10KSB/A, 10QSB, 10QSB/A, 10SB12B, 10SB12B/A, 10SB12G, 10SB12G/A, SB-1, SB-1/A, SB-1MEF, SB-2, SB-2/A, and SB-2MEF.  Please note that these forms have not been deactivated in the system.
